About the team

The Commercial Contracts Manager will have primary responsibility for the Kinaxis Commercial Legal team in supporting and leading contracting activities between Kinaxis and its vendors, partners, and customers. These contracting activities include drafting, reviewing, negotiating, administering, updating, and working with a variety of contracts and other legal documents, primarily relating to procurement of goods and services for Kinaxis. This role independently handles diverse contracting matters, using strong judgement to keep negotiations and workflows moving efficiently while aligning with Commercial Legal standards.

An exceptional communicator and collaborator, with a keen eye for detail, the Commercial Contracts Manager will also engage with internal stakeholders across the Legal and Purchasing organizations and other teams within Kinaxis to ensure that contract templates, processes, workflows, and tools are leveraged for maximum efficiency, productivity, and impact. This includes contributing to improvements that enhance the overall effectiveness and clarity of contracting practices.

Additionally, the Commercial Contracts Manager will have the opportunity to work with our Legal Operations team to help craft and refine best practices for contract management workflows that drive employee self-service and enhance the overall experience of working with the Commercial Legal team for Kinaxis.

What you will do

  • Prepare, draft and negotiate routine contracts, with a particular emphasis on NDAs, vendor/supplier agreements, software subscription agreements, order forms, and contractor agreements, escalating within the Commercial Legal team, when necessary, while navigating moderately complex or non-standard terms as appropriate.
  • Work with our Purchasing and Legal Operations team to manage all aspects of the contract lifecycle from end to end, ensuring each stage runs smoothly and aligns with Commercial legal’s standard.
  • Develop and refine contract playbooks to help streamline contract negotiation and execution, including identifying opportunities to improve guidance and usability.
  • Manage a library of templates for use by Commercial Legal team members and other internal stakeholders, ensuring templates are regularly updated and consistent with Kinaxis standards.
  • Work with our Legal Operations team to review, improve and refine existing workflows and processes related to contracts management within the Commercial Legal team and its internal clients.
  • Act as the Commercial Legal representative on all contractually related aspects of the Kinaxis vendor management process for new and existing suppliers, helping resolve various issues and advising on relevant contract requirements.
  • Deliver training and communicate to internal Kinaxis stakeholders on changes to processes, workflows, and tools, ensuring effective communication, change management, and adoption.
  • Support and lead other projects and initiatives within the Commercial legal team as required.

What we are looking for

  • A Paralegal or Law Clerk degree, or equivalent professional experience in contract management, preferably in a global, technology focused environment.
  • 5+ years of experience in contract management in-house or at a law firm, with a focus on reviewing, drafting and negotiating vendor/supplier contracts for software purchases and other direct support of high volume internal clients like Sales, Product and Partner teams, including experience independently resolving moderately complex or non-standard terms.
  • Proficiency with contract lifecycle management tools and digital contract execution, deep experience with Ironclad, DocuSign and ServiceNow experience will be a particular asset.
  • Exceptional communication and customer service skills; demonstrated experience working directly with external clients using a solution-oriented approach.
  • Highly organized with exceptional attention to detail and time management skills.
  • Highly adaptable and flexible; the ability to exercise independent judgment to pivot attention to tasks based on updated prioritization and business needs.
  • Proactive; a strong team player who thrives in a fast-paced environment working independently with minimal supervision, and able to take ownership of functional responsibilities or workstreams when required.
